Terms of Service

1. Acceptance of these terms

By creating an account, downloading, installing, or using Rushes, you agree to be bound by these Terms of Service and by our Privacy Policy. If you do not agree, do not use Rushes. If you are using Rushes on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. The provider

Rushes is provided by Beastly, Inc. ("Beastly," "we," "us"). References to "Rushes" mean the Rushes application and related services. You can reach us at support@getrushes.com.

3. Description of the service

Rushes is a macOS application that syncs, transcribes, and organizes multi-camera interview footage and exports a ready-to-cut project for editing tools such as Final Cut Pro, DaVinci Resolve, and Adobe Premiere Pro. Transcription runs locally on your device; only transcript text is sent for AI-assisted organization, as described in our Privacy Policy. Rushes is sold as an annual subscription and also offers a free trial; certain features — including project export — require an active paid subscription.

4. License grant

Subject to these terms and your active subscription, Beastly grants you a non-exclusive, non-transferable, revocable license to install and use Rushes for your personal or business use. This is a license to use the software, not a sale of the software. Beastly retains all rights, title, and interest in and to Rushes.

You may not, except to the extent permitted by applicable law: (a) reverse-engineer, decompile, or disassemble Rushes or attempt to derive its source code; (b) copy, redistribute, sublicense, sell, rent, lease, or otherwise make Rushes available to any third party; (c) resell or commercially exploit access to Rushes; (d) remove or alter any proprietary notices; or (e) use Rushes to build a competing product.

5. Subscriptions, billing, and auto-renewal

Subscriptions are billed through Stripe, which acts as merchant of record for your purchase. By subscribing, you authorize recurring annual charges to your payment method until you cancel. Subscriptions renew automatically at the end of each annual term at the then-current rate for your plan, unless you cancel before the renewal date.

Founding rate

If you subscribe at a founding rate, that price is locked for the life of your continuous subscription — it will not increase at renewal so long as your subscription remains active and uninterrupted. If your subscription lapses or is cancelled, the founding rate is forfeited, and any later resubscription will be at the then-current standard rate. 6. Acceptable use

You agree to use Rushes only for lawful purposes and in compliance with these terms. You will not use Rushes to: violate any law or the rights of others; process content you do not have the rights to process; attempt to gain unauthorized access to our systems or those of our providers; interfere with or disrupt the service; or circumvent usage limits, trial enforcement, or other technical controls.

7. Intellectual property and your content

Beastly, Inc. owns Rushes — including the application, its design, and all associated intellectual property. These terms grant you a license to use Rushes, not ownership of it.

You retain all rights to your own footage and content. Beastly claims no ownership of the media, transcripts, projects, or other content you create or process with Rushes. We process your content only to provide the service — for example, sending transcript text for AI-assisted organization as described in the Privacy Policy. Your media never leaves your machine.

8. Disclaimer of warranties

Rushes is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that Rushes will be uninterrupted, error-free, or that results (including transcription or AI analysis) will be accurate or meet your requirements.

9. Limitation of liability

To the maximum extent permitted by law, Beastly, Inc. and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising out of or relating to your use of Rushes. To the maximum extent permitted by law, Beastly's total aggregate liability for any claims relating to Rushes will not exceed the amount you paid to Beastly in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Beastly, Inc. and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your content, your use of Rushes, or your violation of these terms or applicable law.

11. Termination

You may stop using Rushes and cancel your subscription at any time (see the Refund & Cancellation Policy). We may suspend or terminate your access if you breach these terms, misuse the service, or as required by law. Upon termination, your license to use Rushes ends. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

12. Governing law

These terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. The parties agree that venue for any dispute lies exclusively in the state and federal courts located in Miami-Dade County, Florida.

13. Changes to these terms

We may update these terms from time to time. When we do, we will revise the effective date above and, where appropriate, provide additional notice. Your continued use of Rushes after changes take effect constitutes acceptance of the updated terms.
